 As NetAlter Software Limited (“Company”) has taken a leap forward to enter into
the Capital Markets, it is the core responsibility of the Company to enhance and
uphold the principles of ‘ethical corporate citizenship’ through good
Corporate Governance Policy.
Corporate Governance is the application of best
management practices, compliance of law in true letter and spirit and adherence
to ethical standards for effective management and distribution of wealth and
discharge of social responsibility for sustainable development of all
stakeholders.
Corporate Governance is very broader concept and it is generally
understood as the framework of rules, relationships systems and processes within
and by which authority is exercised and controlled in corporations. The basic
principle of Corporate Governance is executive freedom of management to drive
the enterprise forward without undue restraints within the framework of
effective accountability.
The Corporate Governance Policy is a mechanism of
checks and balances which ensures that the decision making powers vested in the
executive management is not only misused, but utilized with utmost care and
responsibility to meet stakeholder aspirations and societal expectations along
with due accountability to Company’s Customers, Suppliers, Creditors, employees,
government & semi government organisations or authorities and all other parties
with whom Company deals including the nation as a whole.

Governance Policy ensure respect for human values, individual dignity, and
adherence to honest, ethical and professional conduct.
